Story Submission Disclaimer

I hereby acknowledge and agree that by submitting this form, and any premise(s), story(ies), or other material(s) (collectively, the “Material”) to Audio Chuck, LLC (“Company”), its successors, assigns, and licensees, I confirm that I have read, and am voluntarily accepting, the following terms and conditions:

I represent and warrant that I am the author and owner of the Material, that the rights of no other person or entity are required to submit the Material to Company, and that neither the Material nor my submission to Company shall infringe on the rights of any third party;

I will not assume or infer that because Company may accept my submission of the Material that Company will regard the Material, or any part thereof, as novel, valuable or usable. I understand and acknowledge that other persons submitting hereunder may also have submitted materials containing ideas similar or identical to the concept I am submitting and that I will not be entitled to any consideration in the event of Company’s use of such other similar or identical material, and I hereby waive any such claim that Company misappropriated any ideas or portions of the Material in any Company programs or activities.

In the event Company elects to use the Material, Company and I, subject to good faith negotiations, will enter into an agreement regarding such use, provided that I understand and acknowledge that the Material may contain elements which are not subject to the protection of copyright and which Company is under no obligation to refrain from using absent an agreement.

I release Company, its successors, subsidiaries, assigns, and licensees, and any of Company’s employees, representatives, and agents, from any liability, loss or damage which may arise as a result of Company’s access to the Material.

This submission constitutes the entire understanding and agreement between Company and me, and supersedes all prior understandings, whether written or oral.  Any subsequent modification or waiver hereof must be in writing, signed by both of us.  The invalidity of any provision hereof is not to affect the remaining provisions.

These Terms and Conditions and my submission to Company shall be governed by, and construed and enforced in accordance with the laws of the State of Indiana applicable to contracts made and entirely performed therein, and the courts located in Los Angeles, California shall have exclusive jurisdiction hereof.
